Mark Harper QC, leading Nigel Hood of New Square Chambers and as instructed by Robert Jones of Weightmans LLP has successfully acted for defendant directors in the case of Buckingham Homes Limited & another v Rutter & others [2019] EWHC 1760 (Ch).  The judgment, handed down on Friday 12 July 2019, followed a 2 week trial earlier in the year and dismissed the claims against the defendant directors that they had failed, in breach of their statutory duties, to retain and develop a commercial property instead of selling the same.  

The case was particularly interesting as the shareholders agreement vested the decision(s) as to how to deal with the property with a group of shareholders.
