Andrew Lynn practises in Chancery and commercial litigation, with particular emphasis on trusts, equity, civil fraud and cross‑border disputes. He has full rights of audience in both England and Wales and Hong Kong, and is based at Kings Chambers, where he accepts instructions in matters before the Business and Property Courts

Regularly instructed in disputes raising complex and developing issues in equity, his work includes matters concerning trustee and fiduciary duties, proprietary remedies, and the court’s supervisory jurisdiction over trusts.

He has substantial experience in civil fraud and disputes over ownership of assets, acting in claims involving allegations of deceit, breach of fiduciary duty, dishonest assistance, knowing receipt and unjust enrichment.

Much of his work has a cross‑border dimension, particularly in matters involving Hong Kong, including jurisdictional disputes, foreign law issues, cross‑border proprietary injunctions and anti‑suit injunctions.

He has substantial litigation experience in Hong Kong at all levels, including acting as lead counsel in a 25‑day High Court civil fraud trial, and appearing on multiple occasions in the Court of Appeal and Court of Final Appeal, in several cases as sole or lead counsel, including cases conducted from trial through to final appeal. He is currently instructed in the ongoing Lo Family Trust litigation, one of the most significant trust disputes before the Hong Kong courts, in which he has acted for the plaintiff beneficiary since 2018.

Recent and Notable Matters

  • Lo Family Trust litigation — instructed by the plaintiff beneficiary since 2018 in complex proceedings concerning the trust’s de facto controlling shareholding in a listed company; involving trustee and protector duties and powers, contested expert valuation evidence, and litigation at first instance and appellate level in the Hong Kong courts, including interim and satellite applications.
  • Lau Lai Shan Lisa v Zhang Qi & Ors, Hong Kong High Court (2025) — acted as lead counsel in a 25-day civil fraud trial involving deceit, constructive trust, unjust enrichment and fiduciary duty claims arising out of a disputed share transfer in a property-holding vehicle.
  • Lo Kai Shui v HSBC International Trustee Ltd and Others [2023] HKCA 983 — acted for the successful appellant in a case concerning issues of res judicata and abuse of process in the context of discretionary trusts.
  • Re WSY (HCMH 7/2016; HCA 398/2017) [2022] HKCFI 496 — acted for the guardian of a beneficiary in High Court proceedings concerning the structuring of an estate of approximately HK$800 million, including issues of testamentary capacity, the setting aside of lifetime transactions, and the establishment of a substantial trust for a vulnerable beneficiary.

Expertise

Andrew is instructed in a wide range of contentious trusts and equitable claims, with particular experience in disputes concerning trustee decision‑making, fiduciary obligations, equitable ownership and proprietary remedies.

  • Trust disputes and trustee obligations
    Duties and powers of trustees in discretionary and fixed trusts; trustee–beneficiary disputes; the role and duties of protectors; applications under the court’s supervisory jurisdiction (including Public Trustee v Cooper applications); and the removal and replacement of trustees and protectors.
  • Equitable ownership and proprietary interests
    Disputes concerning beneficial ownership of land and other assets; resulting and constructive trusts; Pallant v Morgan equity; proprietary estoppel; and TOLATA claims.
  • Fiduciary duties
    Claims for breach of fiduciary duty in trust and commercial contexts, including dishonest assistance and knowing receipt, and claims against professional trustees and advisers.
  • Fraud and proprietary claims
    Civil fraud, tracing and proprietary remedies, including constructive and resulting trusts, and unjust enrichment.
  • Expert evidence
    Experience of cases involving substantial expert evidence, including the valuation of shareholdings in private and listed companies.
  • Validity, construction and rectification
    Issues concerning the validity, construction and rectification of trusts and wills, including testamentary capacity, undue influence and mutual wills.
  • Charitable and pension trusts
    Contentious charitable and pension trust matters.

Commercial disputes with a particular focus on civil fraud, dishonest conduct and breach of fiduciary or contractual duty. Experience includes acting as lead counsel in substantial fraud litigation, including a 25‑day High Court trial (Hong Kong), and in proceedings with an international dimension involving directors’ duties, shareholder disputes, securities and confidential information.

Cross‑border and multi‑jurisdictional disputes, including matters involving international trust structures, offshore proceedings and coordinated litigation across jurisdictions. Experience includes:

  • Anti‑suit injunctions in trust and commercial proceedings
  • Cross-border proprietary injunctions
  • Blessing applications before offshore courts
  • Applications for permission to serve out of the jurisdiction
  • Use of foreign law evidence
  • Multi‑jurisdictional probate and succession disputes
  • Joint venture disputes with cross‑border elements

Andrew accepts instructions in proceedings in England & Wales and Hong Kong, and is particularly suited to disputes requiring coordinated litigation across multiple jurisdictions.

Contentious probate and estate disputes, including issues concerning the validity, construction and rectification of wills, testamentary capacity, undue influence, and the removal or replacement of personal representatives.

Experience includes applications under the court’s supervisory jurisdiction (including Public Trustee v Cooper applications), statutory will proceedings, and disputes concerning the administration of high‑value estates and conflicts of interest involving executors and trustees.

Claims against solicitors, financial advisers, trustees and other professionals, particularly in trust, estate and property matters.
